These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Ulla Technology Ltd (“Ulla”, “we”, “us”).

Websites covered by these terms

These Terms apply to and govern your use of any website on which they are displayed, including, but not limited to:

1. The Ulla services

The Ulla® family of artificial intelligence services is designed to help organisations and individuals monitor, analyse and improve business communication and operational effectiveness.

The Services use artificial intelligence technologies to assist with the capture, organisation and analysis of spoken content and related information.

The Services are provided as support tools only. Ulla does not provide legal, HR or professional advice and does not make decisions on behalf of users.

2. Changes to these terms

We continuously seek to improve our Services. As our Services evolve, these Terms may also need to change.

We reserve the right to amend these Terms at any time. If we do so, we will notify you by:

  • posting a notice on our website;
  • sending you an email; and/or
  • using any other reasonable method.

Your continued use of the Services after changes take effect means you accept the updated Terms.

3. Who these terms apply to

These Terms apply to:

  • registered users;
  • users whose accounts are pre-created in connection with a meeting;
  • organisations using the Services for business purposes.

If you use the Services on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

4. Account creation and pre-created accounts

4.1 Standard Registration

You may create an account by registering directly through the Ulla website.

4.2 Pre-created accounts

In certain situations, Ulla may pre-create a limited account for a meeting organiser when:

  • Ulla is invited to a meeting;
  • Ulla joins a meeting via calendar integration; or
  • a user enables Ulla to access a meeting without having completed full account registration.

In such cases:

  • the only personal data processed is an email address;
  • the account remains inactive unless registration is completed;
  • the sole purpose is to allow access to meeting transcripts and summaries.

Ulla relies on its legitimate interests under UK GDPR to process email addresses for this limited purpose.

Retention:Pre-created accounts are retained for 6 months, after which they are deleted unless registration is completed or additional meetings occur.

5. Your responsibilities when using the services

You are responsible for:

  • determining and relying on an appropriate lawful basis under UK GDPR to record and transcribe meetings;
  • informing all meeting participants that recording and transcription will take place;
  • providing participants with appropriate privacy information.

Objections

If any participant objects to being recorded, you must not use the Services for that meeting or must stop the recording.

Ulla is not responsible for failures to obtain or respect objections.

6. Data protection roles

6.1 Meeting content

For meeting recordings, transcripts and summaries:

  • you (or your organisation) act as the data controller;
  • Ulla acts as a processor, providing the Services on your behalf.

You are responsible for:

  • lawful basis assessments;
  • handling objections;
  • responding to data subject requests;
  • conducting DPIAs where required.

6.2 Pre-created accounts

For pre-created accounts, Ulla acts as a data controller for the limited processing described in Section 4.2.

7. Communications

Ulla may send service-related communications, including notifications and transcript availability reminders.

Ulla does not send marketing communications to users with pre-created accounts unless and until they complete registration and provide any required consent.

8. User сontent

You retain ownership of any content you submit, upload, record or otherwise make available through the Services (“User Content”).

By using the Services, you grant Ulla a limited, non-exclusive right to process User Content solely for the purpose of providing the Services in accordance with these Terms.

You are solely responsible for:

  • the legality of User Content;
  • ensuring you have all necessary rights and permissions;
  • compliance with applicable laws.

Ulla does not monitor User Content and is not responsible for its accuracy, legality or use.

Where the Services allow you to share transcripts, summaries or related outputs with third parties (including via shareable links), you are solely responsible for determining whether such sharing is appropriate and lawful.

Ulla does not control how shared content is further used, distributed or disclosed by recipients and is not responsible for any consequences arising from such sharing.

9. Third-party services and links

The Services may include links to, or integrations with, third-party websites or services that are not owned or controlled by Ulla.

Any access to or use of third-party websites or services is at your own risk. Ulla does not control and is not responsible for the content, accuracy, availability, policies or practices of any third-party services.

Any transactions, communications or interactions you have with third parties, including payment and delivery of goods or services, are solely between you and those third parties. Ulla is not responsible for any loss or damage arising from such interactions.

Ulla has no obligation to become involved in disputes between users or between users and third parties. You agree to release Ulla from any claims arising out of such disputes.

10. Service Availability and Disclaimer

The Services are provided on an “as is” basis.

You acknowledge that the Services are not error-free and that you use them at your own risk and discretion. No warranties are given, whether express or implied.

The Services will continue to develop over time. You acknowledge that features, functionality or layout may change without prior notice.

Ulla does not make any warranties, express or implied, regarding availability, merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, performance or quality of the Services.

From time to time, Ulla may need to carry out maintenance or updates for technical, security or operational reasons, during which the Services may be temporarily unavailable. Ulla will use reasonable efforts to schedule such work outside peak usage hours.

11. Fees, payment and cancellation

Some Services may be offered on a paid basis.

Details about pricing, billing cycles, payment terms and cancellation options are provided at the time of purchase or subscription, and may also be available in your account area or relevant FAQs.

You may cancel your subscription in accordance with the information provided at the time of purchase or through your account settings. If you experience any difficulties, you may contact us at .

Refunds, if applicable, are provided only where required by applicable UK consumer protection laws or where expressly stated at the point of purchase.

12. Suspension and termination

We may suspend or terminate access to the Services if these Terms are breached or if required by law.

You may stop using the Services at any time.

13. Limitation of liability

Nothing in these Terms limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation.

To the maximum extent permitted by law, Ulla is not liable for indirect or consequential losses, loss of data, business interruption or misuse of the Services.

14. Governing Law

These Terms are governed by the laws of England and Wales.The courts of England and Wales have exclusive jurisdiction.

15. ADDITIONAL TERMS - ULLA HR

When using Ulla HR, the Services may include insights and analytics relating to communication patterns and meeting participation.

If you use Ulla HR within an organisation, you acknowledge and agree that:

  • you are responsible for determining whether and how such Services may be used within your organisation;
  • you are responsible for informing employees or other relevant individuals about the use of such tools;
  • you must implement appropriate internal measures, permissions and notices in line with applicable law;
  • you are responsible for establishing and documenting a lawful basis for such use, including any required assessments;
  • DPIAs may be required under UK GDPR.

Ulla does not make employment or HR decisions.

Ulla provides the Services as a tool only and does not control or determine how organisations deploy them internally.

16. ADDITIONAL TERMS - ULLA INTERVIEW

Ulla Interview is an artificial intelligence–based solution for voice interviews and surveys.

It allows users to create custom question sets, share links with participants, collect voice-recorded responses and automatically receive transcriptions and related reports.

Ulla Interview facilitates the collection and organisation of responses only. It does not make decisions about individuals.

You are responsible for informing participants how their data will be used and for determining an appropriate lawful basis for collecting and processing responses.
